Welcome to Clinix Healthcare ("Clinix", "we", "us", or "our"). These Terms of Service ("Terms") govern your use of the Clinix mobile application, web dashboard, and website (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Definitions
- "Patient" refers to an individual who uses Clinix to book appointments, view medical records, and manage their healthcare.
- "Healthcare Provider" refers to doctors, clinics, branches, and reception staff who use Clinix to manage appointments, patient records, and healthcare services.
- "Clinic" refers to a healthcare facility registered on Clinix that may operate one or more branches.
- "Branch" refers to a specific location of a Clinic where healthcare services are provided.
- "Content" refers to all text, images, files, medical records, and other materials uploaded or created through the Services.
2. Eligibility
To use Clinix, you must:
- Be at least 13 years of age (or the minimum age of digital consent in your jurisdiction)
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using our Services under applicable laws
- Provide accurate and complete registration information
If you are registering on behalf of a clinic or healthcare organization, you represent that you have the authority to bind that organization to these Terms.
3. Account Registration and Security
3.1 Registration
- You must provide accurate, current, and complete information during the registration process.
- Patient registration requires a valid email address and Saudi Arabian mobile number (+966 format).
- Clinic registration requires valid clinic information and is subject to our approval process.
- Authentication is handled through a one-time password (OTP) sent to your registered email address.
3.2 Account Security
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that we believe have been compromised.
3.3 Account Roles
Clinix supports multiple user roles with different access levels:
- Patient: Can book appointments, view medical records, and manage their profile.
- Doctor: Can manage their schedule, view appointments, and create patient reports.
- Reception: Can manage appointments and schedules for their assigned branch.
- Branch Admin: Can manage their branch's doctors, receptions, appointments, and patients.
- Clinic Admin: Can manage their clinic, branches, doctors, and all associated data.
- System Admin: Has full system access for platform management.
4. Use of Services
4.1 Permitted Use
You may use Clinix for the following purposes:
- Booking and managing medical appointments
- Viewing and managing personal medical records
- Communicating with healthcare providers
- Managing clinic operations (for healthcare providers)
- Viewing invoices and payment history
- Submitting reviews and ratings for doctors and clinics
4.2 Prohibited Use
You agree not to:
- Use Clinix for any unlawful purpose or in violation of any applicable laws or regulations
- Provide false, misleading, or inaccurate information
- Impersonate another person or entity
- Attempt to gain unauthorized access to any part of the Services or any other user's account
- Upload or transmit any malicious code, viruses, or harmful content
- Interfere with or disrupt the Services or servers connected to the Services
- Scrape, crawl, or extract data from the Services without our express written permission
- Use automated systems (bots, scripts) to access the Services
- Share your account credentials with others
- Use Clinix to store or transmit content that is defamatory, obscene, abusive, or violates any third-party rights
- Reverse engineer, decompile, or disassemble any part of the Services
5. Medical Disclaimer
Clinix is a healthcare management platform, not a healthcare provider.
- Clinix does not provide medical advice, diagnosis, or treatment.
- The information stored and displayed through Clinix is for record-keeping and management purposes only.
- Always consult with a qualified healthcare professional for medical advice, diagnosis, or treatment.
- Never disregard professional medical advice or delay seeking it because of something you have read or seen on Clinix.
- In case of a medical emergency, call emergency services immediately.
- Clinix is not responsible for the quality, accuracy, or completeness of medical information provided by healthcare providers through our platform.
6. Healthcare Provider Obligations
If you are a healthcare provider (doctor, clinic, branch, or reception staff) using Clinix, you agree to:
- Maintain valid and current professional licenses and registrations as required by Saudi Arabian law
- Provide accurate and truthful information about your qualifications, services, and availability
- Maintain the confidentiality of patient information in accordance with applicable healthcare privacy laws
- Use Clinix in compliance with all applicable healthcare regulations and professional standards
- Ensure that all medical records, prescriptions, and reports entered into Clinix are accurate and complete
- Respond to patient appointments and inquiries in a timely and professional manner
- Not use Clinix to store or transmit any content that violates patient privacy or confidentiality
7. Intellectual Property
7.1 Our Intellectual Property
All rights, title, and interest in and to the Clinix Services, including all intellectual property rights, are and will remain the exclusive property of Clinix Healthcare and its licensors. This includes:
- The Clinix name, logo, and all related trademarks
- The design, structure, and organization of the Services
- All software, code, algorithms, and technology underlying the Services
- All text, graphics, images, and other content created by Clinix
7.2 Your Content
You retain ownership of any content you upload or create through Clinix. By uploading content, you grant Clinix a non-exclusive, worldwide, royalty-free license to:
- Store, reproduce, and display your content for the purpose of providing the Services
- Share your content with healthcare providers as necessary to facilitate your healthcare services
- Process and transmit your content as required for the operation of the Services
You represent and warrant that you have all necessary rights to any content you upload and that such content does not infringe upon the rights of any third party.
8. Fees and Payment
- Clinix may charge fees for certain services. Any applicable fees will be clearly communicated to you before you incur any charges.
- Medical service fees are set by individual healthcare providers and are not determined by Clinix.
- Invoices are generated automatically when appointments are marked as completed.
- Payment for medical services is handled directly between patients and healthcare providers. Clinix does not process payments.
- All prices are displayed in Saudi Riyals (SAR) unless otherwise stated.
- Clinix reserves the right to modify its fees at any time with reasonable notice.
9. Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, and share your personal information. By using Clinix, you agree to the data practices described in our Privacy Policy.
10. Third-Party Services
Clinix integrates with certain third-party services to provide functionality:
- Firebase (Google): Used for push notifications and file storage.
- Google Maps: Used for location services, map display, and address geocoding.
- Zoho: Used for email delivery (OTP verification and appointment reminders).
Your use of these third-party services is subject to their respective terms of service and privacy policies. Clinix is not responsible for the practices of these third-party services.
11. Termination
11.1 Termination by You
You may terminate your account at any time by:
- Using the account deletion feature in the Clinix mobile app
- Contacting us directly to request account deletion
Upon termination, we will send you a reminder email 24 hours before permanent deletion, after which your data will be permanently deleted through our cascade deletion process.
11.2 Termination by Clinix
We may suspend or terminate your account at any time, with or without cause, including if:
- You violate these Terms
- We are required to do so by law or legal process
- We believe your account poses a risk to Clinix, our users, or third parties
- Your clinic registration is disapproved or revoked
11.3 Effect of Termination
Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination will remain in effect, including intellectual property, disclaimers, limitation of liability, and governing law.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Services will be uninterrupted, error-free, or secure
- Warranties that any defects in the Services will be corrected
- Warranties regarding the accuracy, completeness, or reliability of any content
Clinix does not warrant that the Services will meet your requirements or that the quality of any services obtained through Clinix will meet your expectations.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Clinix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
- Clinix shall not be liable for any damages arising from your use of or inability to use the Services.
- Clinix shall not be liable for any medical outcomes, treatment results, or healthcare decisions made based on information accessed through the Services.
- Clinix shall not be liable for the actions, omissions, or conduct of healthcare providers using the platform.
- Clinix's total liability for all claims arising from or related to these Terms or the Services shall not exceed the amount you paid to Clinix in the twelve (12) months preceding the claim, or SAR 100, whichever is greater.
14. Indemnification
You agree to indemnify, defend, and hold harmless Clinix Healthcare, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you upload or transmit through the Services.
15. Governing Law and Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.
- Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Kingdom of Saudi Arabia.
- We encourage you to contact us first to attempt to resolve any disputes informally before pursuing legal action.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting a notice on our website, sending you an email, or displaying a notification within the Clinix app. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
